Terms of Service

Not legal advice and not investment advice. This document is plain-English boilerplate, not a contract reviewed by counsel. Data served by the Rockmoon API is sourced from public regulatory filings and is provided for information purposes only — nothing here, and nothing served by our API, constitutes a recommendation to buy, sell, or hold any security. Verify against the original filing before making financial decisions.

1. What Rockmoon is

Rockmoon ("we", "us") operates a financial-data service that returns data extracted from public regulatory filings — currently SEC (US), EDINET (Japan), and DART (Korea). The service is delivered primarily over MCP (Model Context Protocol); during early access, direct REST/HTTP access to the data endpoints is limited to the Unlimited plan. Endpoints, pricing, and feature scope are described at /docs and on the pricing page.

By creating an account or calling the API ("Service"), you ("Customer") agree to these terms.

2. Account responsibilities

  • Keep your API keys secret. Anyone holding a valid key can make calls billed to your account.
  • Do not share keys across organisational boundaries. Multiple keys per tenant are free — issue one per environment / service rather than re-using one.
  • If a key is compromised, revoke it from the dashboard immediately. Charges accrued before revocation remain billable.
  • You are responsible for the legality of how you use the data in your jurisdiction. Some data items may carry redistribution restrictions imposed by the original filer or the regulator.

3. Acceptable use

You may use the Service to build internal tooling, customer-facing products, research, journalism, and academic work. You may not:

  • Re-publish bulk dumps of our extracted data in a way that competes with the Service. A dashboard that surfaces individual records to your own users is fine; a public mirror that bypasses our authentication is not.
  • Attempt to identify, deanonymise, or harass other customers via observable side-channels (timing, rate limits, error messages).
  • Use the Service to violate applicable securities, tax, or privacy law.
  • Scrape our HTML pages with the intent of bypassing API rate limits.
  • Reverse-engineer, decompile, or otherwise attempt to extract our extraction logic or convention tables, beyond what is necessary for normal interoperability with the documented API.

4. SLA — best effort

We aim for high availability and freshness but we do not commit to a contractual SLA at our current pricing tiers. If you require an enforceable uptime guarantee for production usage, contact [email protected] for an enterprise arrangement.

Data freshness varies by market — US filings are typically reflected within hours of EDGAR receipt; JP and KR may lag by a day as filings clear the regulator's review window. Backfills (re-extracting older filings under new conventions) periodically refresh historical values; we do not promise that a value returned today will exactly match the value returned a year from now if the underlying convention has been corrected.

5. Data accuracy disclaimer

Every Rockmoon value can be traced back to the original XBRL fact in the original filing — the trace explorer is publicly accessible, and authenticated trace endpoints are included in paid plans. We make a strong effort to apply the governing accounting framework correctly — Reg S-X, ASC, IFRS, J-GAAP, K-IFRS — but extraction is not infallible. If a number matters for a real decision:

  • Cross-check against the source filing (use /v1/trace/<ticker>/financials or look up the filing yourself).
  • Confirm the period boundaries (some filers report split fiscal years).
  • For any value used in a regulatory submission or trade execution, verify independently.

If you find a value that disagrees with the source filing, email [email protected] — we treat extraction defects as priority bugs.

6. Pricing, billing, and refunds

  • Plans and their prices are listed on the pricing page and in /billing/plans. We may change pricing for new signups at any time; existing subscriptions remain on the price you signed up at for as long as the subscription stays active — early-bird pricing is locked in the same way.
  • Subscriptions are billed monthly in advance by Creem (our Merchant of Record). Creem handles the card transaction and any applicable VAT / sales tax end-to-end; we never see your card details.
  • Plans include a daily request quota and a per-minute rate limit (current numbers on the pricing page). There is no overage billing — requests beyond the quota are declined with a clear error until the window resets.
  • We occasionally grant promotional trials (for example, a 30-day trial for early signups). Trials require no card and convert to the free tier automatically unless you subscribe.
  • Cancellation takes effect at the end of your current billing period; you keep access for what you have already paid for. We do not pro-rate refunds for partial periods.
  • If a payment fails, your account stays active for a short grace period while Creem retries the charge. After that, the account downgrades to the free tier; your data and keys are retained but quotas drop.
  • Refunds: within 7 days of your first charge we refund in full, no questions asked. At any time we refund clear billing errors (charged twice, charged after cancellation). Email [email protected] with the invoice ID.

7. Termination

Either side can terminate at any time. We may suspend or revoke an account that materially violates these terms (see §3) — typically after a warning, but immediately if the violation is causing concrete harm (e.g. DDoS-shaped traffic, credential abuse). On termination:

  • Outstanding invoiced amounts remain due.
  • Your data is deleted per the Privacy Policy retention schedule.
  • You may export your data first (email [email protected]).

8. Confidentiality

Anything we mark "Confidential" (e.g. private beta features, pricing offered to you off-list) you agree to keep confidential for as long as we treat it that way. Data returned by the API is sourced from public filings and is not confidential.

9. Limitation of liability

To the maximum extent permitted by law, our total liability under or in connection with these terms is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or trading losses — arising from your use of, or inability to use, the Service. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the maximum extent permitted.

10. Warranty disclaimer

The Service is provided "as is" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any data returned is suitable for any specific purpose.

11. Indemnification

You agree to defend and indemnify us against third-party claims arising from your breach of these terms, your violation of law, or your use of the Service in a way that infringes a third party's rights.

12. Governing law and disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflicts-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, except where local consumer-protection law gives you the right to file in your home jurisdiction.

13. Changes to these terms

If we change these terms in a way that materially reduces your rights or expands your obligations, we will email every active account at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance. You can always read the current version at /terms.
